ONRC: Clarifications regarding the entering into force of the amendments and supplements to the Law no.26/1990 regarding the trade register and to the Law no.129/2019 for the prevention of and fight against money laundering and terrorist financing

The Romanian National Trade Register Office reminds that, along with the entering into force of Law no.208/2020 regarding the amendment and supplementation of certain legal acts, published in the Official Gazette of Romania, part 1, no.869/23.09.2020, the following legal acts are being amended and supplemented:

  • The Law no. 26/1990 regarding the trade register, republished, as follows:
  • In Article 18, after paragraph 3, a new paragraph is introduced, paragraph 4, with the following content: „In the absence of the natural person trader, respectively in the absence of the representative of the family-owned company, their signature can be replaced by the submission to the trade register, by a lawyer, of the power of attorney that contains the signature of the client, respectively the signature of the natural person trader or the representative of the family-owned company. The signature of the natural person must be given in person in the company of the lawyer and it will be used throughout the entire activity of the natural person trader, respectively of the representative of the family-owned company.”
  • Article 19, paragraph 2 is amended and will have the following content: „The proving for the sample of signature of the managers, and, if applicable, of the company’s representatives, as well as of the people authorized under the law to represent the autonomous administrations or the corporate organizations is conducted according to the provisions of Art. 18, para. 2-4.”
